– HELICOPTIC SOLUTIONS shall not be held liable to the Client or any third party for any damages, including but not limited to lost profits, lost business, or other incidental, consequential, or special damages resulting from the operation or inability to operate the presentation application.
– All applicable taxes will be charged according to the current rates.
For the purposes of this paragraph, “Employee” refers to current employees or those employed prior to the mentioned project. During the period of service provided by HELICOPTIC SOLUTIONS and for twenty-four (24) months following, (i) HELICOPTIC SOLUTIONS agrees not to solicit or induce any Employee of the Client to terminate their employment without the prior written approval of the Client, and (ii) the Client agrees not to solicit or induce any Employee of HELICOPTIC SOLUTIONS to terminate their employment or to hire them without the prior written approval of HELICOPTIC SOLUTIONS.
Without the written consent of the other party, no party is allowed to assign, delegate, or subcontract this Agreement, any Statement of Work, or any rights or licenses granted hereunder. However, there are certain exceptions to this rule. A party is permitted to assign and transfer this Agreement, any Statement of Work, and its rights and obligations hereunder to a third party that succeeds in substantially owning all of its business and assets. Additionally, a party can assign or transfer any rights to receive payments hereunder. Furthermore, HELICOPTIC SOLUTIONS has the option to subcontract its obligations hereunder to its wholly-owned subsidiaries or third-party service providers. It is important to note that HELICOPTIC SOLUTIONS remains primarily liable to the Client, including for the acts and omissions of any parties employed or engaged by HELICOPTIC SOLUTIONS. However, the Client is prohibited from assigning or transferring this Agreement to a direct competitor of HELICOPTIC SOLUTIONS.
The client guarantees to HELICOPTIC SOLUTIONS that it has unconditional ownership or permission from the rightful owner for all elements of text, graphics, photos, designs, trademarks, source code, or other artwork provided to HELICOPTIC SOLUTIONS for inclusion in the web pages. The client will indemnify, protect, and defend HELICOPTIC SOLUTIONS from any claim or lawsuit arising from the use of such elements provided by the Client.
The copyrights or ownership of source code/design for all files produced/developed/designed by HELICOPTIC SOLUTIONS during the course of this project remain with HELICOPTIC SOLUTIONS. However, after the final payment of the project, the rights and ownership of the source code/design will be transferred to the Client.
This contract was entered into in New Delhi, India and any dispute will be resolved through litigation or arbitration in New Delhi, India, regardless of the place of venue.
The agreement outlined in this “Proposal” constitutes the only agreement between HELICOPTIC SOLUTIONS, the Client, and its owners.
Any additional work not specified in the proposal will be estimated separately or will require an amendment to this proposal.
It is the client’s responsibility to provide all images and content for the project. If the client fails to do so, they grant us the right to use internet images. We will make every effort to only use royalty-free images, but once the project is completed, it is the client’s responsibility to review and accept the work. If the client discovers that any aspect does not belong to them, they should contact us immediately for modification. After the work is delivered, HELICOPTIC SOLUTIONS will not be held liable for any copyright infringement, trademark violation, performance issues, damages, or legal consequences arising from any cause. It is strongly recommended that the client provides images, text, and other content at the time of the contract to ensure the work is completed according to their agreement.
If the fees paid by the client are eligible for tax deduction at source, the client should provide the TDS certificate when making the payment. The professional fees do not include any applicable taxes or government levies. The client is responsible for paying any such taxes or levies, whether retrospective or non-retrospective.
If the client terminates the project during website development, the initial advance payment will not be refunded.
In the event of any legal proceedings, the amount refunded will not exceed the amount charged to the client.
